Official Rules for "METAL GEAR SOLID WALKMAN GIVEAWAY"

NO PURCHASE NECESSARY. THE GIVEAWAY IS OPEN ONLY TO LEGAL UNITED STATES RESIDENTS RESIDING IN THE 48 CONTIGUOUS UNITED SATES (EXCLUDING ALASKA AND HAWAII). ENTRANTS MUST BE EIGHTEEN (18) YEARS OR OLDER AS OF THE DATE OF ENTRY. THREE (3) RANDOMLY DRAWN WINNERS!

1. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR CLAIM PRIZE. "The Metal Gear Solid Walkman® Giveaway" (the "Giveaway") is open to legal United States residents residing in the 48 contiguous United States (excluding Alaska and Hawaii) and who are 18 years of age or older on December 23, 2010. See Sections 6 and 7 of these Official Rules for the Official Rules and Conditions (the "Official Rules") for a description of these restrictions. Employees, officers, directors, agents, representatives of Revision3.com and its parent, subsidiaries, affiliates, licensees, advertising and promotion agencies, promotion partners, Internet service and access providers, and those involved in the development, production, implementation, and distribution of this Giveaway, the immediate family (spouse, children, siblings, parents and their respective spouses) and household members thereof and/or any other person or entities associated with this Giveaway, are not eligible to participate or win. Void where prohibited or restricted by law. All federal, state and local laws and regulations apply. By entering you agree that you have read these Official Rules and fully and unconditionally accept and agree to be bound by these Official Rules and the decisions of Sponsor.

3. CONTEST PERIOD: The Giveaway will begin at 9:00 AM (PST) on December 23, 2010 (the "Giveaway Launch Time") and ends at 5:00 PM (PST) on January 15, 2011 ("Giveaway End Time"). The winners will be randomly drawn by Sponsor after Giveaway End Time.

4. HOW TO ENTER: To enter the Giveaway, email sgnl@revision3.com or send message via Twitter @SGNLBySony and tell the story of your first Walkman. After the end of the giveaway period, three (3) winners will be randomly drawn by Sponsor from all submissions. No purchase is necessary to enter! There is a limit of one (1) submission per email address, per person and/or per family or household. All submitters agree to abide by these Official Rules. By submitting, you represent and warrant that you are eligible to enter in accordance with these Official Rules.

5. ENTRANT INFORMATION: When you email sgnl@revision3.com, Sponsor will collect your personal information and store it for the purpose of contacting you in the future about new promotions and campaigns. Sponsor will not disclose your personal information to any third parties. If you do not want to receive communications from Sponsor, please send a request to remove your name from its mailing list to: Revision3.com, 2415 3rd Street #232, San Francisco, CA 94107, United States of America. The first and last name provided by entrants will be the identity of the entrant and, if selected and qualified for a prize, the identity of the winner. The use of a bogus name or e-mail address will disqualify an entrant.

All entries become the property of Sponsor. In the event of a dispute, the "entrant" for online entries is the person in whose name the online account is held. Sponsor is not responsible for lost, late, partial, incomplete, or garbled computer transmissions, or for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware, or software which may limit an entrant's ability to participate in this Giveaway. Proof of subscription will not be deemed to be proof of receipt.

6. WINNER: The three (3) winners of the Giveaway (the "Prize Winner(s)") will be randomly drawn by Sponsor from eligible entries received by Sponsor after the Giveaway ends. Sponsor reserves the right to verify eligibility qualifications of the Prize Winner(s). The Prize Winner(s) will be notified by Twitter, telephone and/or e-mail no later than January 31, 2011 and announced on the show. No more than the listed prize will be awarded. Sponsor retains the option to substitute prizes of equal or greater value than those listed, if listed prizes are unavailable.

7. PRIZE: The number of entrants may vary, thus affecting the odds of winning. Only three (3) prizes will be awarded. The prizes are three (3) Metal Gear Solid Walkman® players - NWZ-W252CAMO model. The total approximate retail value ("ARV") of the Prize is $59.95 for each NWZ-W252CAMO. Sponsor will deliver the Prizes to the Prize Winners by March 1, 2011.

All taxes, including federal, state and local and income taxes, are the sole responsibility of the Prize Winner. Pursuant to Internal Revenue Service regulations, Sponsor will file the IRS-1099 form with the Internal Revenue Service on behalf of the winner if the Prize as the Prize's estimated value is $600 or more.

No prize substitution is allowed except at the discretion of Sponsor. If any prize cannot be awarded due to circumstances beyond the control of Sponsor, a substitute prize of equal or greater value will be awarded. The Prize is not transferable, nor is cash redemption permitted. If the Prize notification is undeliverable or unclaimed by February 15, 2011, the applicable Prize Winner(s) will be disqualified and the Prize(s) will be forfeited and, at Sponsor's discretion, may be awarded to the next eligible entry(ies) that was received after the Giveaway Launch Time (the "Prize Alternate Winner").

The Prize Winner(s) and the Prize Alternate Winner(s), as applicable, agrees that each Prize is "AS IS" and "WITHOUT WARRANTY" except for any warranty that is expressly provided by the manufacturer or supplier of the prizes, and each winner is subject to all restrictions imposed by the manufacturer or supplier of the prize. Sponsor has not made and/or is not responsible for any representation or guaranty, express or implied, in fact or in law, relative to the Prize(s).

8. CONDITIONS: By entering, you fully and unconditionally accept and agree to be bound by the Official Rules of this Giveaway. By entering, you also agree to waive any right to claim ambiguity or error in these Official Rules or in the Giveaway itself. All federal, state and local laws, regulations and ordinances apply. All Official Rules must be complied with and all required releases must be provided or the Prize Winner(s) will be disqualified and the Prize(s) will be forfeited and may be awarded to the Prize Alternate Winner(s). Sponsor reserves the right to request valid identification and/or proof of age from the Prize Winner(s). Failure to present such identification, driver's license or proof of age will result in disqualification of the applicable Prize Winner(s) and forfeit of the Prize(s), and the Prize(s) may be awarded to the Prize Alternate Winner(s).

9. RELEASES: Acceptance of the Prize grants to Sponsor and its agents, parent, affiliates and representatives a worldwide, royalty-free, exclusive right and license to use, reproduce, publish, distribute and display each Prize Winner or, if appropriate, any Prize Alternate Winner's name, address (city and state), and/or likeness in addition to his or her written or video submission (in whole or in part) for editorial, advertising, promotion, and trade purposes without further compensation, worldwide and an unlimited number of times in perpetuity, in any and all forms of media, now known and hereafter devised, including without limitation on the Internet and on television, unless prohibited by law. By entering, participants release and hold harmless Sponsor, its parent, subsidiaries, affiliates, principals, partners, directors, officers, employees, advertising and promotion agencies, successors, assignees, and agents from any and all liability or any injury, loss, expense, cost, claim or damage of any kind, whether known or unknown (including death) arising from, resulting, or in connection with this Giveaway or the Prize won. Entrants also agree that Sponsor, its officers, directors, partners, employees, agents or affiliates are not responsible or liable in any way for interception or use of information related to or resulting from entry into the Giveaway.

10. INTERNET. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Giveaway, Sponsor reserves the right at its sole discretion to disqualify any individual (and his/her Giveaway entry) who tampers with the entry process, and to cancel, terminate, modify, or suspend the Giveaway or the Internet/e-mail/electronic forms portion of the Giveaway and void such entries, and Sponsor will select winners solely from among eligible entries received up to that time.

11. MISCELLANEOUS: Sponsor reserves the right, in its sole discretion, to disqualify any submission if it is offensive, profane, or otherwise disrespectful of others' rights. Likewise, Sponsor may prohibit you from participating in the Giveaway if at its sole discretion you show a disregard for these Official Rules or act in an unsportsmanlike manner, with intent to annoy, abuse, threaten, or harass any other person, or in any other disruptive manner.

Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by any of the equipment or programming associated with or utilized in the Giveaway or by any technical or human error which may occur in the processing of the entries in this Giveaway. Nor is Sponsor responsible for late, lost, stolen, illegible, incomplete, garbled, misdirected, or mutilated entries, or the security of any and all such matters.

If for any reason this Giveaway is not capable of running as planned, including tampering, unauthorized intervention, fraud, or any other causes beyond the reasonable control of Sponsor which corrupt the administration, security, fairness, integrity, or proper conduct of this Giveaway, Sponsor reserves the right at its sole discretion to disqualify any individual (and his or her Giveaway entry) who tampers with the entry process, and to cancel, terminate, modify, or suspend the Giveaway and void such entries, and Sponsor will select the winner solely from among eligible entries received up to that time.

In the event that any dispute arises regarding the meaning or interpretation of these Official Rules, participants agree that the dispute shall be resolved by the laws of the State of California and that it shall be resolved within and by the courts of that state.

12. WINNERS' LIST/COPY OF OFFICIAL RULES: The winner(s)' list will be available after January 31, 2011.
